Terms of Service

These Terms of Service ("Terms") govern your use of Chartimatic, a product of Averva Corporation ("we," "our," or "Company"). By accessing or using Chartimatic, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you represent that you are at least 18 years old and have the authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

Chartimatic provides AI-powered daily business intelligence briefings by aggregating data from your connected third-party services (e.g., Shopify, Meta Ads, Google Analytics, Klaviyo). The Service includes email briefings, a web dashboard, industry intelligence, and AI-generated insights.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Billing

• Chartimatic is offered on a subscription basis with monthly and annual billing options.
• Payments are processed through Stripe. All fees are non-refundable except as required by law.
• We may change pricing with 30 days' notice. Existing subscriptions will be honored through the current billing period.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

5. Third-Party Integrations

Chartimatic connects to third-party services via OAuth. You are responsible for maintaining valid credentials and ensuring you have the right to share data from those services with us. We are not responsible for the availability, accuracy, or security of third-party services.

6. AI-Generated Content

Chartimatic uses artificial intelligence to generate insights, analysis, and recommendations. AI-generated content is provided for informational purposes only and should not be considered financial, legal, or professional advice. We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You are responsible for independently verifying any information before making business decisions.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to gain unauthorized access to the Service or its systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools to scrape or collect data from the Service.
• Share your account credentials with others or allow multiple users on a single-user plan.
• Resell or redistribute the Service or its output without authorization.

8. Intellectual Property

All content, features, and functionality of the Service — including the software, design, text, and branding — are the intellectual property of Averva Corporation. Your business data remains yours. We do not claim ownership of the data you provide through connected integrations.

9. Limitation of Liability

To the maximum extent permitted by law, Averva Corporation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold harmless Averva Corporation from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms are governed by the laws of the State of Minnesota, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Minnesota.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the effective date. Continued use of the Service after changes constitutes acceptance.
